TISD Terms & Conditions Agreement

General Terms
  1. TISD, Incorporated, herein referred to as TISD, is a Texas Corporation and Internet Service Provider.
  2. This Agreement is deemed to be entered in the State of Texas and all parties agree that any dispute arising under this Agreement shall have its venue in Victoria County, Texas, any such dispute shall be governed by and conducted in accordance with the laws of the State of Texas.
  3. The customer shall indemnify TISD, its affiliates, officers, directors, licensees and licensors from all claims and expenses, including, without limitation, reasonable attorney’s fees arising from Customer breach of any provisions in this Agreement.
  4. TISD may assign this Agreement without customer’s prior consent and all of TISD’s rights, title and interest herein shall inure to the benefit to such an assignee, its successors and assigns. This Agreement shall not be assignable to the Customer except with the written consent of TISD, Inc. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
  5. If any one of the paragraphs in the Agreement is found to be unenforceable or invalid, this Agreement on all other paragraphs is not affected.
  6. This Agreement contains the entire agreement of the parties hereto with respect to matters covered hereby and superseded any other prior or simultaneous agreement related to such matters.
  7. The customer agrees to and is subject to all the conditions of the TISD Terms & Conditions Agreement, acceptable use descriptions and/or payment terms described in this document and on the TISD website.
  8. Unless otherwise stated, there is no contractual obligation to continue service for either party.
  9. TISD is not responsible for protection or privacy of any information held by the customer or transferred through the Internet, or any other service, by the customer. TISD will not use or sell your email address or personal data to any third-party, with the exception that if TISD sells the majority of its assets or business; it may provide this data to the purchaser of the business so that they can continue providing service to the customers.
  10. TISD may change or modify these conditions, access speeds, pricing or any additional portion of the terms of this service by giving thirty (30) days’ notice. Customers can elect to continue the service after such notice, or within that same thirty (30) days’ period, end service. A customer’s continued use of the service after such notice shall constitute the customer’s acceptance of the modifications of this Agreement implied in fact.
Wireless Internet Service Terms
  1. TISD will provide Internet access to customers using wireless equipment selected, installed and maintained by TISD, or a designated representative. No customer will be allowed to access TISD’s network using their own equipment, under any circumstance. TISD may, at their discretion, replace or remove wireless equipment as required to maintain the performance and/or security of their network.
  2. TISD solely shall hold all passwords and authentication information for the TISD radio equipment at a customer’s location.
  3. Any equipment that is installed by TISD at a customer’s location remains the property of TISD. TISD provides access to customers for the sole purpose of the customer obtaining Wireless Internet Service through TISD’s network. The customer is responsible for the material condition of the equipment at the customer’s location, including but not limited to; damage by fire, theft, misuse, neglect or unreasonable damage, as determined by TISD. If the equipment is damaged in any such way, the customer may be held responsible for the cost of the equipment.
  4. TISD is not responsible or liable for, but not limited to, any of the following:
    1. Any obstruction that may cause interference, loss of signal or service that has been erected, or has grown, after the installation and activation of service at a customer’s location.
    2. Debris, ice or other current weather conditions that causes degradation or loss of service.
    3. Installation of hardware and/or software to any new devices after the initial installation of service, or device’s compatibility with a customer network after installation.
    4. Reconfiguration of network settings for any reason, including but not limited to: tampering, reinstallation of device operating system, accidental removal or moving hardware to a new device.
  5. The customer understands that wireless Internet connectivity requires some radio line of sight, and that obstructions between TISD equipment and the wireless unit TISD installed at the customer location could block the signal, service or access to the Internet entirely.
  6. The customer understands ALL setup fees are non-refundable once the wireless connection is operable. The customer must contact TISD by phone, mail or email to terminate their account. Accounts may only be terminated at the end of the month. TISD does not prorate the account at the time of termination, as service is paid through the end of the month. All TISD equipment must be accessible to be picked up or returned to TISD within 14 days of termination, and be in good working order.
  7. Payment: The customer will be invoiced monthly, in advance, for all amounts due to TISD for an Internet Service Account. All payments are due as prepayment by the 28th of the month. Monthly payments can be automatically deducted from the customer’s bank account. Payments can also be made by check or cash at one of TISD’s physical locations. Monthly invoices will be emailed to the email address that the customer has provided. All invoices and payment information are also available through TISD’s website and bill pay site. Payments may also be made through the PayBill portal on TISD’s website. Payment before the due date will be the customer’s responsibility. The first month will be prorated from the date of installation. If payment is not received before the first of the month, a late fee of $5 will be assessed on the next month’s invoice. If payment is not received by the 10th of the month, Internet service may be suspended, and there may be a $25 reactivation fee for suspended accounts. Cancellation of suspended accounts occurs on the 18th of the month. If an account is processed as cancelled, all equipment will be picked up by TISD, and customer will fall into remittance.
  8. Setup Fees: TISD’s standard installation fee is variable, however all customers will be notified of the fee before service is installed. Additional components and labor beyond the basic installation will be charged on a time and material basis.
  9. Moving Fees: If a customer moves and both can still obtain service and still desires service, then a minimum basic installation fee shall apply so that TISD can retrieve any equipment at the preceding customer location and reinstall the equipment at the new customer location.
  10. The Customer’s equipment must be able to interface to a standard Ethernet connection.
  11. Liability: TISD cannot be held liable for any damage or injury to any person(s) or property caused by the equipment it installs or supplies. The customer agrees to assume all liability and holds TISD harmless for equipment installed at the customer’s site.
  12. TISD offers customers access to the Internet. The customer hereby acknowledges that the Internet is not owned, operated, managed by or in any way affiliated with TISD or any of its affiliates, and that it is a separate network of computers independent of TISD customer’s use of the Internet is solely at the customer’s own risk and is subject to all applicable local, state, federal and international law and regulations. Access to the Internet is dependent on numerous factors, technologies and systems, many of which are beyond TISD authority and control.
  13. TISD’s network may only be used for lawful purposes. The transmission of any material in violation of any local, state, federal or international law is prohibited. This includes, but is not limited to: copyrighted material; material legally judged to be threatening or obscene; material protected by trade secret; material that is otherwise deemed to be proprietary; material judged by TISD to be inappropriate or improper, such as sending bulk e-mail messages or spam.
  14. Access to other networks connected to TISD’s network must comply with the rules appropriate for that other network. TISD exercises no control whatsoever over the content of the information passing through its network.
  15. TISD makes no guarantee, expressed or implied to deliver data to the customer. Including but not limited to: merchantability; fitness for a particular purpose; loss of data resulting from delays; non-deliveries; or service interruption however caused. Use of any information obtained by TISD network is at the customer’s own risk. TISD specifically disclaims any responsibility for the accuracy or quality of information obtained through its services.
  16. Routine maintenance and periodic system repairs, upgrades and reconfigurations, public emergency or necessity, force majeure, restrictions imposed by law, acts of God, labor disputes and other situations, including mechanical or electronic breakdowns may result in temporary impairment or interruption of service. As a result, TISD does not guarantee continuous or uninterrupted service and reserves the right from time to time to temporarily reduce or suspend service without notice. Customers shall indemnify and hold TISD and its directors, officers, employees and agents harmless from all obligations, charges, claims, liabilities, costs and fees incurred as a result of interruption or degradation of service.
  17. TISD reserves the right, as required by direct warrant and law, to monitor a customer’s activity and data.
Voice Over Internet Protocol Service Terms
  1. TISD will provide VOIP services to the customer through a combination of the Internet and other hardware, provided by TISD. It is not required that the customer be an Internet service customer to use this service. The equipment that is required for VOIP operation will be available for lease or purchase through TISD.
  2. If the customer chooses to lease the equipment, the customer must read and sign the TISD Lease Agreement, which will be made available to the customer.
    1. Under the Lease Agreement, the customer will need to pay a deposit for each device, the amount for which is based on the device.
    2. The term of the Lease Agreement begins on the signing date and ends upon TISD or the Customer terminating the account. The deposit will be refunded when the device is returned.
    3. All leased equipment belongs to and remains the exclusive property of TISD.
  3. Late Charges: Any amount under this Agreement that remains unpaid for more than 15 days is subject to a $5 late fee.
  4. TISD is not responsible or liable for, but not limited to, any of the following:
    1. Device compatibility after the initial installation and setup of the VOIP Service.
    2. Network connectivity and Internet service functionality in relation to the VOIP Service when using a third-party provider.
    3. Installation of hardware and/or software to any new devices after the initial installation of service, or device’s compatibility with a customer network after installation.
    4. Reconfiguration of network settings for any reason, including but not limited to: tampering, reinstallation of device operating system, accidental removal or moving hardware to a new device.
  5. Setup: The customer understands that the setup process may include the payment of a deposit and may take an indeterminate amount of time.
  6. Ports: The customer understands that the porting of a phone number that is under the care of a different provider may take an indeterminate amount of time, and may be entirely impossible, based on carrier abilities. The customer also understands that porting a number may cause loss of current service in the event that the port is processed and is under way.
  7. Liability: TISD cannot be held liable for any damage or injury to any person(s) or property caused by the equipment it installs or supplies. The customer agrees to assume all liability and holds TISD harmless for equipment installed at the customer’s site.
  8. TISD makes no guarantee, expressed or implied to deliver data to the customer. Including but not limited to: merchantability; fitness for a particular purpose; loss of data resulting from delays; non-deliveries; or service interruption however caused. Use of any information obtained by TISD network is at the customer’s own risk. TISD specifically disclaims any responsibility for the accuracy or quality of information obtained through its services.
  9. Computer Repair Service
  1. All service Orders are subject to a minimum $25 service fee once it reaches a technician, regardless of the state of repair or outcome of the services performed. This fee will not be assessed if the part or labor is under warranty with TISD. TISD does not perform any additional work without customer consent.
  2. Returns: All returns are subject to, but not limited to, the following:
    1. All returns must have receipt and paperwork.
    2. All returns are subject to a 15% restocking fee.
    3. Merchandise must be returned within 14 days of purchase.
    4. No returns on opened software.
    5. Store credit will be given for returned open products, in working condition.
  3. Data: The customer is responsible for data backup before repair. TISD reserves the right to erase the computer’s hard drive to ensure the proper repair of the unit by eliminating software as a variable whenever our technicians deem it necessary. Customer will be notified prior to action.
  4. TISD is NOT responsible for data loss for any reason; including, but not limited to:
    1. Hardware failure while in service.
    2. Hard drive is formatted to repair operating system or software.
  5. Software: The customer understands that software errors or corruption that causes poor performance or loss of functionality of the computer is NOT covered by ANY manufacturer’s warranty.
  6. TISD does not support any applications or software with the exception of Microsoft Windows and Mac Operating Systems.
  7. The customer is responsible for determining application compatibility with any operating system they’ve enlisted our service team to install or upgrade to.
    1. If the customer wants software reinstalled on their computer after an operating system installation, they are required to provide all necessary documentation or disks required for that software. TISD can NOT install software that is not compatible with the operating system.
  8. Security: The customer is responsible for updating definitions to antivirus software and applying security patches to the operating system after the date of repair on the unit.
  9. TISD is NOT responsible for viral infections of the unit or any security compromises to the unit, including compromises due to weak passwords after the date of repair.
  10. Equipment: The customer understands the following:
    1. TISD will assess, with the customer, the damaged or affected areas of any unit at the day of drop-off. TISD is NOT responsible for functionality of any part or component not requested for repair that was assessed as working, or that was unable to be assessed for its functionality.
    2. TISD will notify the customer of any additional parts or components found to be nonfunctional, after the diagnoses or repairs have been started. TISD is NOT responsible for these parts or components functionality, unless requested to be repaired.
    3. TISD is NOT responsible for equipment left, without contact for 90 days from the time of the unit’s entry into service, regardless of the state of the repair. After this 90-day period without contact, the unit will be considered abandoned.
    4. TISD is NOT responsible for notifying the customer in the event your equipment is disposed of due to being abandoned. All abandoned equipment will be disposed of securely.
    5. All equipment must be picked up, and paid for, within 30 days of completion, or will be subject to an additional $30 holding fee.
  11. Warranty: TISD will warranty any labor for 30 days, and any part or component within its 14-day return period.
 Service Plan Agreement

This agreement is entered into through verbal or written consent by the subscribing customer, between the customer and TISD, Inc., A Texas Corporation, hereinafter “TISD.”

TERMS OF SERVICE PLAN APPLICABLE TO SERVICE(S):

  1. The TISD Service Plan has been designed to cover the inside wiring installed by TISD, customer education, and diagnosis inside the home. The Service Plan gives customers protection for the inside wiring connection of their TISD services including High-Speed Internet, and VOIP.
  2. Customers who choose to subscribe to the TISD, Inc. Service Plan will not be charged a service fee that may have otherwise been applied based on the circumstances of the service call, providing it is one of the covered circumstances listed within this agreement.
  3. Customers can consent to the Service Plan at any time, when a service call has been scheduled, or when the technician is at the customer’s home to avoid additional charges or service fees. Customers who discontinue the TISD, Inc. Service plan are not eligible to sign up again for six months.
  4. Complete listing of covered and noncovered items is located on the Residential Account Service Coverages on the TISD webpage.

Description:  Inside wiring is defined as the wiring located from the antenna/radio to the back of the customer’s device, typically a router or an individual computer.

  1. Customer agrees to be bound by this monthly service plan agreement by oral consent given (i) at the time the service call is scheduled, (ii) when the technician is at the customer’s home, (iii) or at any point during their monthly billing cycle by calling the billing department.
  2. Customer agrees to pay a monthly recurring service charge of $5 added to their monthly bill. If customer elects to pay by automatic recurring credit card, debit card or automatic clearing house payments, Customer authorizes TISD to charge such accounts.  Failure to receive a bill does not release Customer from Customer’s obligation to pay.  Failure to pay the total balance when due shall constitute a breach of this Agreement and may be grounds for termination or suspension of service.
  3. Monthly Subscription. The subscription fee for the Service Plan will be billed at the beginning of your service month and each month thereafter unless and until you cancel your subscription. Your subscription can be cancelled by you at any time, but you will not be able to re-subscribe for 6 months from the cancellation date. 
  4. Subject to the discretion of TISD, items or events covered under the service plan can be found on the Residential Account Service Coverages
  5. Not Covered. Items not covered under the TISD, Inc. Service Plan in any circumstance can be found on the Residential Account Service Coverages.  A service call for any of the non-covered items/events will be billable to the customer as an invoice for services rendered.

Service problem caused by customer installation of equipment.

Replacement of TISD wiring inside walls.

Wiring between buildings not installed by TISD.

Customer education/advice on TISD products on the hook-up and operation of customer-owned equipment.

Initial installation of service, outlets, or jacks.

All services related to the TISD network and TISD-owned equipment.
